Energy and Renewables

Hess Legal advises companies on energy law issues, in particular energy suppliers, municipal utilities, grid operators, project developers, investors, municipalities and energy-intensive companies.
In addition to traditional energy law, such as regulatory proceedings and the awarding of concessions under the Energy Industry Act (EnWG), Hess Legal provides advice and forensic services, particularly in the area of renewable energies.
Among other things, Hess Legal advises on the drafting and negotiation of EPC, O&M and component supply contracts (turbines, solar modules, etc.) as well as PPA´s.
Another focus of Hess Legal is the structuring of investments and divestments in the renewable energy sector for institutional investors, project developers and IPP´s.
Hess Legal also advises on the realisation of energy projects outside Germany in cooperation with foreign law firms.

Hess Legal has many years of experience in advising on investments in public and private institutions that serve the public interest. A particular focus is on technical infrastructure (transport routes, energy and water supply, waste disposal, digital infrastructure including (tele)communication platforms, and financial systems) as well as social infrastructure (in particular facilities of the health system, e.g. hospitals, elderly care facilities, and public safety, e.g. emergency call systems, etc.).
Hess Legal traditionally advises project sponsors and investors (infrastructure, pension and private equity funds) in the field of infrastructure throughout the entire life cycle of a transaction, from tendering, assistance in the bidding process to closing and a subsequent divestment.

Hess Legal advises banks and financial service providers on regulatory matters, in particular banking supervisory law, and on liability law issues, including forensic assistance.
Another focus of Hess Legal is advising so-called FinTechs on the legal implementation of new financial instruments and services using digital technologies, in particular crowdfunding service providers on issues relating to the regulation of their offerings (permission, conduct obligations, prevention of money laundering, investor protection, etc.).
In addition to reviewing crowdfunding offers, in particular revenue and profit sharing in the form of tokenised profit participation rights, Hess Legal also covers the processing of prospectuses (WIB, KIIS, etc.).

Hess Legal advises Private Equity and Venture Capital funds as well as target companies and its management on private placements of equity or equity-like financing with a focus on unlisted small and medium-sized enterprises (SMEs), in particular in the technology sector, in various corporate phases (seed, Series A+, growth financing) and (special) situations (succession, MBO's, spin-offs, turn-arounds, etc.).
Hess Legal covers both the life cycle of a transaction from the conclusion of an NDA, drafting term sheets, conducting due diligence, negotiating asset or share purchase agreements as well as investor and management participation agreements to the exit (trade sale, IPO, etc.).
Hess Legal supports investment and integration processes in private equity and venture capital transactions also by participating in the advisory board of the target company.
